hello,
i would definately boot off of the CD rom and run fsck on the filesystem from there. I would also run memtest.
boot into rescue mode to get the fsck option, there is an option to pass memtest86 to the linux CD image for that option.
if the file systems/memory checks out boot to run level 1 (enter 1 or single at the grub prompt) and the see what error is happening by going through the scripts in /etc/rc5.d and seeing what is failing - what ever it is, it is pretty soon in the start up.
